These Terms of Service (“Terms”) govern your use of the Ushaman website, programs, products,
consultations, and digital offerings (collectively, the “Services”). By visiting, purchasing,
enrolling, or participating, you agree to be bound by these Terms. In these Terms, “Ushaman,”
“we,” “our,” and “us” mean Celestino Cornielle d/b/a Ushaman, including our employees,
agents, co-facilitators, and other authorized representatives, and—when acting on our
instructions—our approved contractors, affiliated entities, successors, and assigns. Third-party
platforms we use (e.g., Podia, Stripe, Rewardful, email/analytics vendors) are independent
providers; your use of them is governed by their terms and policies.
1) Programs & Services
Ushaman provides transformational offerings including, without limitation, Alchemy of Ecstasy
(AOE), SoulSpark Sessions, DAFA Oracular Consultations, Alchemy of LOVE, Manifestation
Master Course, and the Ushaman Male Potency Elixir, together with related content, rituals, and
materials.
Our Services support personal, emotional, spiritual, and sexual growth and may integrate
shamanic practices and intuitive guidance. We do not provide medical, psychological, or
psychotherapy services and our Services are not a substitute for licensed care or emergency
services.
2) Eligibility & Client Commitments
By using the Services, you represent and warrant that you are 18+ and competent to contract;
you understand Teacher is not a licensed medical or mental-health professional; you accept full
responsibility for your participation, choices, and results; you will complete program steps/
assignments required for coaching continuity; and you will not use the Services to violate law or
others’ rights.
3) Payments, Refunds & Cancellations (authoritative)
A. Coaching Programs (e.g., AOE $3,333).All program sales are NON-REFUNDABLE. Paying in full or via installments creates a binding
payment obligation for the entire fee. Canceling participation does not cancel payments.
B. Single Sessions (SoulSpark $222; DAFA $222).
NON-REFUNDABLE once booked. Sessions may be rescheduled with proper notice (see §4).
Missed sessions without notice are forfeited.
C. Digital Products (e.g., eBooks, downloads).
NON-REFUNDABLE once delivered or accessed.
D. Elixir & Priority Reserve.
Priority-reserve deposits are NON-REFUNDABLE. Remaining balances are auto-charged upon
inventory release. No returns once shipped unless defective; defective items will be replaced or
refunded at our discretion.
E. Subscriptions (if applicable).
Cancel before the next billing date to stop future renewals. No prorated refunds for partial
periods.
F. Failed/Late Payments.
You authorize us and our processors (e.g., Stripe/Podia) to re-attempt charges and update card
details via network updater services. We may suspend access for failed/late payments, assess a
reasonable late fee, and withhold materials until the account is current.
G. Chargebacks.
You agree to contact us first at support@ushaman.com to resolve billing concerns before
initiating a chargeback. Filing an unwarranted chargeback is a breach of these Terms and may
result in account termination and recovery of fees/costs.
H. Exceptions.
At our sole discretion (e.g., serious illness or bereavement), we may terminate services early with
a pro-rated refund for undelivered sessions only.
4) Rescheduling & Attendance (1:1 work)
Provide 24+ hours’ notice to reschedule; otherwise the session is forfeited. Teacher may
reschedule with reasonable notice. Repeated no-shows may result in termination without refund.5) Health, Safety & Emergency
Our work may address intimacy, sexuality, and shadow. We do not diagnose, treat, or prescribe.
If in crisis, contact local emergency services (US: 988) immediately. Participation is voluntary;
you assume all risks.
6) Confidentiality & Recordings
We keep coaching conversations confidential except where disclosure is required by law or to
prevent harm. You will not record sessions without written consent. Any approved recording is
for your personal use only and remains our intellectual property.
7) Intellectual Property & License
All methods, rituals, frameworks, videos, audio, and written works are owned by Ushaman. You
receive a limited, non-transferable, revocable license for personal use only. No copying,
redistribution, sublicensing, or commercial use without our written permission.
8) Testimonials, Likeness & Marketing
If you voluntarily submit a testimonial/review or tag our brand, you grant a worldwide, royalty-
free license to use it (with your first name/initials and city unless you request anonymity) in
marketing. We may lightly edit for length/clarity without changing meaning.
9) Third-Party Services
We use third parties (e.g., Podia, Stripe, Rewardful, email/analytics tools). Your use of those
services is subject to their terms. We are not responsible for their acts or omissions.
10) Affiliate Program (summary)Affiliates may earn 25% commission on eligible referrals tracked via Rewardful/Stripe.
• Tracking window: 60 days after first click using your link.
• Payouts occur after payments clear and outside any refund/chargeback window.
• Affiliates must follow brand guidance, make clear FTC disclosures (“I earn a commission”),
and avoid false claims, spam, impersonation, or bidding on our trademarks. Violations may result
in termination and forfeiture of unpaid commissions. (Full affiliate terms may be provided
separately and are incorporated by reference.)
11) Disclaimers; Limitation of Liability
THE SERVICES ARE PROVIDED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY
LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT SHALL
USHAMAN OR TEACHER BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL,
CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS/
REVENUE/GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT
EXCEED THE AMOUNT YOU PAID FOR THE RELEVANT SERVICE IN THE THREE (3)
MONTHS PRECEDING THE CLAIM.
12) Indemnification
You agree to defend, indemnify, and hold harmless Ushaman, Teacher, and affiliates from any
claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees)
arising from your use of the Services, your breach of these Terms, or your violation of law or
third-party rights.
13) Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of California, USA. The parties will attempt
good-faith mediation in Los Angeles County, California, before litigation. Exclusive venue is the
state or federal courts in Los Angeles County, California. The parties waive jury trial to the
fullest extent permitted by law. The prevailing party may recover reasonable attorneys’ fees and
costs.14) Modifications; Severability; Entire Agreement
We may update these Terms from time to time; the “Last Updated” date reflects the latest
version. Continued use after changes constitutes acceptance. If any provision is unenforceable,
the remainder remains effective. These Terms, together with any order/checkout terms and our
Privacy Policy, constitute the entire agreement between you and Ushaman.
